As discussed on the call, I propose that the CIP be updated to include the escrow and KPI structure we’ve introduced previously. As a starting point, I recommend the following:
- All SV weight and tokens rewards accrued as part of this CIP will be held in escrow at the GSF until such time as the relevant KPIs are met.
- Upon completion of a reasonably scoped audit within the first 3 months, 1/3 of accrued awards and 1/3 of SV weight will be released.
- Upon completion of year 2’s auditing requirements, the remaining 50% of accrued awards and 1/3 of the SV weight will be released. This must be completed during the second calendar year of the program but no later than the end of year 2.
- Upon completion of year 3’s auditing requirements, the remaining accrued awards and the final 1/3 of the SV weight will be released. This must be completed during the third calendar year of the program but no later than the end of year 3.
- The failure to meet any of the KPI requirements will result in the forfeiture of the associated rewards and SV weight.
Note, this is independent of other considerations raised during the call.
